DRUID AI Marketplace – Terms and Conditions 

Please read these Terms and Conditions carefully. For any inquiries use the contact information at the end of this document. 

 

  1. GENERAL PROVISIONS

The following terms and conditions (“Marketplace Terms and Conditions”) apply between: 

DRUID AI, a company registered at 185 Alewife Brook Parkway, Ste 210 Cambridge, MA United States (hereinafter referred to as “DRUID”); 

and 

Any natural or legal person (“Publisher”, “Partner” or “User”) who accesses, publishes, or uses solutions on the DRUID AI Marketplace. 

The DRUID AI Marketplace, available at marketplace.druidai.com, is owned and operated by DRUID and may only be used according to these Marketplace Terms and Conditions and DRUID’s Privacy Policy. 

By publishing a solution, creating an account, or otherwise accessing the Marketplace, you agree to these Terms. If you do not agree, please do not use the Marketplace. 

  1. DEFINITIONS
  • “DRUID AI Marketplace” – a platform managed by DRUID where Partners can publish, distribute, and monetize AI agents, connectors, and related services. 
  • “Partner / Publisher” – a natural or legal person who develops and publishes AI solutions on the Marketplace. 
  • “Solution” – any AI agent, accelerator, connector, or package created by a Partner and published on the Marketplace. 
  • “End Customer” – an organization or individual who licenses or subscribes to a Solution via the Marketplace. 
  • “Revenue Share Model” – the commercial model under which Partners share revenues from sales generated via the Marketplace under terms agreed with DRUID. 
  • “Intellectual Property Rights” – all rights related to DRUID’s Platform, the Marketplace, and any proprietary content, trademarks, or know-how, as well as Partner-developed Solutions (subject to licensing conditions). 

III. REGISTRATION AND ONBOARDING 

To publish a Solution, Partners must complete the Marketplace Onboarding Process: 

  1. Build – Develop your AI agent or solution on the DRUID Platform using available tools, templates, and resources. 
  2. Apply – Submit your solution through the Marketplace portal or directly to DRUID for review. 
  3. Certify – DRUID validates the Solution for security, quality, and alignment with customer needs. 
  4. Publish – The Solution is listed on the Marketplace with a dedicated page (description, screenshots, customer reviews). 
  5. Promote & Earn – Partners gain visibility through DRUID’s marketing campaigns and generate revenue from sales. 

DRUID reserves the right to refuse or remove a Solution if it does not meet certification, compliance, or security requirements. 

  1. REVENUE MODEL

Partners may monetize their Solutions through commercial models agreed with DRUID. 
Specific revenue share conditions will be outlined in the Partner Agreement. 

  1. INTELLECTUAL PROPERTY
  • DRUID retains all Intellectual Property Rights related to the DRUID Platform and the Marketplace. 
  • Partners retain ownership of their Solutions but grant DRUID a non-exclusive, worldwide license to list, market, and distribute their Solutions through the Marketplace. 
  • No Partner may copy, modify, or reverse-engineer the DRUID Platform or Marketplace technologies. 
  1. DATA PROTECTION

DRUID processes personal data in compliance with GDPR, Romanian law, and its Privacy Policy. 

Partners are independently responsible for ensuring GDPR-compliance of any Solution they publish, particularly regarding End Customer data. 

VII. COMMERCIAL COMMUNICATIONS 

By joining the Marketplace, Partners agree to receive communications from DRUID related to marketing, co-selling, joint campaigns, and events. 

VIII. LIABILITY 

  • Each Partner is solely responsible for the performance, accuracy, and compliance of their published Solutions. 
  • DRUID is not liable for any damages caused by Partner Solutions. 
  • DRUID makes no warranty that the Marketplace will be uninterrupted or error-free. 
  1. TERMINATION

DRUID may suspend or terminate a Partner’s participation in the Marketplace if: 

  • The Partner breaches these Terms, 
  • Payments or contractual obligations are not respected, 
  • Solutions compromise customer security, or 
  • DRUID discontinues the Marketplace service. 
  1. APPLICABLE LAW AND JURISDICTION

These Marketplace Terms and Conditions shall be governed by Romanian law. Any disputes shall be settled by the competent courts in Romania. 

  1. FINAL PROVISIONS
  • These Terms form an integral part of DRUID’s general Terms and Conditions, Privacy Policy, and other applicable policies. 
  • DRUID may amend these Terms at any time, publishing an updated version on the Marketplace. Continued use constitutes acceptance.
